          and telehealth/telemedicine with participating universities from

          etc., with the uses of currently available narrow-band Internet,
          and of broadband Internet when it will be available.

     (b)  Multipoint-to-multipoint, multimedia, interactive
          videoconferencing via broadband Internet among some of those
          countries and North America.

     (c)  Multimedia telemedicine demonstration with the use of broadband Internet.

     (d)  Gaming simulation on international economy and trade with the use
          of broadband Internet.

     (e)  Inauguration of Global Service Trust Fund (GSTF).

               Can you make this out?  You would need to formulate the
               conditionalities of global distance learning,
               telehealth/telemedicine, informatics, etc., with the people
               of UNESCO, WHO, ITU, ILO, World Bank, etc. by then.  Let's
               talk when we meet either at the Manaus workshop or in D.C. in June.

(4)  What will you do with the workshop you plan to have in Ukraine?

     I still think you would need it with the people of your Ukraine and
     Eastern European and NIS countries.

     If we do those demonstrations in developed countries, they can be done
     superbly without much difficulties -- as we did a NetMeeting
     videoconferencing via broadband Internet between the University of
     Tampere, Finland and Montana State University during our Tampere event
     last August.

     However, our primary objective is to enact the same in developing
     countries where there is not much capabilities -- as your international
     Internet connection from Lviv, Ukraine to Warsaw, Poland is still mere 1.5 Mbps.

     It is our challenge to conduct demonstrations as much as possible with
     those limited capabilities in developing countries so that the decision-makers
     in those countries will open their eyes for the values of
     broadband Internet as soon as possible.

     Also, having such workshop and demonstration in those countries will
     encourage local motivated people -- and also, we can jointly raise funds
     for the workshop so that they can be autonomous at the earliest possible time.

     These are the basic reasons of our having a mini-workshop in Manaus,
     Amazona, Brazil from May 31st to June 2nd, -- in the middle of jungle!!

     it at least one month apart from the workshop in Sheffield, England next March.

Dear Tak and Tapio

Ihor and I have had some very good meetings with the British Council and
academics here. The representative from the British Council thought that
we should be more ambitious. The result is the draft MOU that is attached.
This could get the support of many funding agencies because it fits in
with what they want to support (more use of the internet; setting up a
global university using the internet, the "e-university"). Also they
propose that the workshop we had in mind at the Open University should be
made larger and moved to March 2001 (better for their budgets). They
suggest that the location of the workshop should be Sheffield England
since that is the site for a major annual conference on the Virtual
University, with government ministers and many other opinion formers.

I.   PREAMBLE

This Memorandum of Understanding (MoU) the Partnerships of the Global
University System has been drafted as a result of a wide discussion with a
number of important interested parties. The MoU is intended to enable key
players to identify key common issues to the deployment of the Global
University System and other information and communications technologies (ICT)
based learning services and the provision of multimedia access to education
and training globally. The MoU for the partnership is intended for reaching
rapid consensus so as to enable all parties to benefit from it, for example,
in the form of Guidelines, Recommendations and Best Practice Handbooks.

The authors express the hope that all major interests in the fields of
educational, social and economic policy will contribute to this important
initiative. This MoU is open for signature to all public and private
organizations that share its aims and objectives and are willing to contribute
to the work. This contribution can be in the form of direct MoU participation
or in the form of creating awareness of the issues raised by the MoU and
disseminating the MoU results.

The MoU should complement the activities of standardization bodies globally in
the domain of learning technologies, content and services, especially with
regard to their mandate to identify and draft standards for learning
technologies.

II.  WHAT IS A "MEMORANDUM OF UNDERSTANDING"
      AND WHAT DOES ITS SIGNATURE MEAN?

This Memorandum of Understanding (MoU) is a formal expression, by all its
signatories, of the importance of making progress at international levels in a
wide spectrum of consensus building activities in support of University
Education and Professional Development Globally and Equitably.

It will take the form of a cooperation framework signed by different
categories of actors, coming from a range of organizations, both public and
private, which have an interest in the deployment of e-universities and other
applications of learning technologies, content and services:

     * public authorities: international, national, regional and local, and
       advisory/inspection bodies;
     * consumers or learners: companies and organizations with learning
       needs for their employees or members; schools, vocational training
       and higher education;
     * producers: service providers, publishers, content providers, system
       developers, telecommunications operators, industry associations.

The MoU is a voluntary agreement, entered into by organizations and companies
prepared to be both pioneers and active participants in developing consensus
on issues of common interest and providing human and financial resources.
While there is no legal obligation to respect the agreements that emerge, the
signature of the Memorandum of Understanding represents a public commitment to
respect certain principles and to work towards specific common goals and
consensus in specific areas.

This particular MoU implies the following public commitments:

     * Commitment from signatory organizations, to facilitate and accelerate
       developments which enhance access to education, such as e-universities, by:

       1. Ensuring that the needs of the represented sectors are well
          defined for the suppliers and developers of technology and
          services relevant to the growing global market in learning technologies.

       2. Providing opportunities for their membership to understand and to
          comment on the issues concerned.

       3. Cooperating in the production of guidelines and solutions for best
          practice in developing and standardizing digital content and
          services for learning.

     * Commitment from signatory commercial developers, and suppliers of
       hardware and services, to support specific developments based on
       open, standard and widely-accepted technologies:

       1. Cooperating in the specification of common, interoperable
          standards that will facilitate the widest possible access to
          global education and e-universities.

       2. Cooperating in the specification of common accreditation and
          knowledge representation systems.

       3. Cooperating in the development of standards for curriculum
          description, learner identification and skills inventory.

       4. Cooperating in the domain of quality standards.

       5. Agreeing on suitable mechanisms to ensure interoperability.

The MoU therefore represents a combination of commitments that together will
enable and accelerate coherent developments in globally-relevant education
which no single organization, or even group of organizations, acting in
isolation could achieve.

III. THE SIGNATORIES

The signatories of the MoU can be classified into one of the following key
groups of participants:

     1.   Education and training authorities - international, national, regional or local.

     2.   End-users - companies and organizations with learning needs for their
          employees or members - and their representative organizations.

     3.   Universities, including distance teaching universities, and schools.

     4.   Professional and industrial training organizations.

     5.   Software and hardware providers.

     6.   Infrastructure, network and communication providers.

     7.   Educational multimedia publishers.

     8.   Educational broadcasters.

     9.   Information owners and brokers such as public libraries, museums, archives etc.

     10.  Standardization bodies.

The Initial Signatories are those Signatories who will have their MoU
signature page and registration form arriving at the MoU Secretariat on 30
October 2000 (tentative) at the latest. They have a right to participate in
the electronic election of the first MoU Steering Committee and in other
Signatory decision making which may take place before the MoU launch
conference on 22 March 2001 (tentative).

MoU decision making procedures, including the voting procedure for the
electronic election of the MoU Steering Committee, starting on 25 September
2000 (tentative), will be posted on the MoU website by 15 December 2000 (tentative).

IV.  THE STEERING COMMITTEE

A Steering Committee will be elected to guide the implementation of the MoU
for the partnership of the Global University System. The committee will
ideally consist of a balanced representation of the above-described key
groups, and will consist of 20 members.

It is intended that - once established - the Steering Committee will be self-governing
and self-financing (which is to be determined by the board of the
Global University System -- noted by Takeshi Utsumi). The voting procedure for
the first electronic election, to be held starting (date TBD), will be posted
by (date TBD) on the MoU website (which is to be announced later -- noted by
Takeshi Utsumi).

For the purposes of this election and other electronic MoU decision making,
the Signatories will announce the authorized e-mail address to be used for its
electronic voting rights. This e-mail address will be sent to the MoU
Secretariat in one of the ways given at the end of this MoU document for
communicating with the MoU Secretariat. The registration form which can be
used for providing this and other Signatory information can be obtained from
the above-mentioned website.

     A.   The Terms of Reference of the Steering Committee:

To identify barriers to the implementation of globally-accessible education
and e-universities and to organize exchange of information and creation of
awareness to dismantle these barriers.

To develop an MoU strategy and to produce a rolling plan of action, covering
at least six months ahead, with planned activities, expected outputs and
significant milestones - and to monitor the implementation of the MoU.

To identify the need for Special Interest Groups and to direct and review the
activities of Special Interest Groups as set up within the framework of the MoU.

To organize and review the integration of recommendations and draft agreements
from Special Interest Groups into a coherent set of guidelines and, when
appropriate, submit these guidelines to a standardization project.

To liaise with the services of the European Commission through the Chief of
the European Regional Group of the Global University System in obtaining the
widest possible public, professional, industrial and political endorsement of
these guidelines.

To ensure that the activities of the signatories come to the attention of
other key or emerging participants in this field, and endeavor to involve them
in the process - ideally through the signature of the MoU.

To suggest proposals for changes to the MoU, for agreement (via plenary
sessions or electronically) by MoU signatories.

To liaise with the standardization organizations, to interact on the
definition of user requirements, and to consider the availability of
standardization resources for activities initiated in response to MoU co-operation priorities.

     B.   The Chair:

The chair is elected annually by the members of the Steering Committee. She/he shall:

     * Moderate the meetings of the Committee.
     * Act as port parole for the Committee, representing its interests externally.
     * Act as the primary point of contact with the European Commission
       through the Chief of the European Regional Group of the Global University System.
     * Ensure the smooth running of the Committee, in general, and the
       achievement of its obligations.

     C.   Working Procedures:

The Steering Committee defines and agrees its own working procedures,
schedules of meetings and agendas. It shall meet at least twice per year.

The Committee shall report after each meeting, to all signatories of the MoU,
on achievements and agreements on an MoU website with agreement of the Chief
of the European Regional Group of the Global University System.

All documents of the Committee - such as reports of Special Interest Groups,
minutes of meetings, etc - shall be non-confidential and available to any
interested party on an MoU website. In addition, any document which may be of
general public interest, shall be actively disseminated.

V.   THE SPECIAL INTEREST GROUPS

Initially to be proposed by the Signatories and decided by the Steering
Committee, after an electronic forum discussion, the Special Interest Groups
should be structured around the key areas for cooperation within the MoU.

     A.   The Expected Output

The output from these Special Interest Groups could be in the form of:

     * A globally-accessible discussion forum.
     * Guidelines.
     * Best Practice Handbooks.
     * Recommendations to Standards Bodies.
     * Recommendations to National and International Policy Makers.

PREAMBLE

The education and training authorities and establishments, the associations
and companies of end-users, consumers, operators, content providers and
producers of learning material and their systems, software and applications,
and observers signing this MoU are herein referred to as the 'Signatories'.

The Signatories, Committing to improving the effectiveness of the cooperation
between education and training authorities and establishments, users of
learning technologies, service and content providers and producers in all
legal countries of the world, Committing to fostering the development of
common international standards for digital multimedia learning content and
services, Committing to giving a global dimension to their cooperation, and to
having open and effective dialogues on issues relating to learning
technologies policy with policy makers in other regions of the world, while
upholding each country's cultural interests and specificities, Considering
that the way to achieve these goals is by following certain common guidelines
organizing their future cooperation, Considering that these guidelines should
be based upon an analysis of the needs expressed by users of the information
and communication technologies (ICT) in the education and training sector,

have agreed as follows:

ARTICLE I - SCOPE OF COOPERATION

The scope of co-operation under this MoU covers all aspects of multimedia
access to education and training - creating a partnership for a common
approach to the production and delivery of learning technologies, content and
services, including their development and application in all areas of lifelong
learning and technological activity. This may comprise all aspects of
research, technological development, demonstration and procurement.

ARTICLE II - GENERAL PRINCIPLES

The Signatories agree on the following general principles:

1.   The Signatories will make their best efforts to improve mutual
     communication. In particular, users should be able to use open,
     interoperable technologies to formulate education and training
     requirements and business requirements for information and communication
     technologies (ICT) products and services.

2.   The Signatories will explore and test various methods of cooperation,
     such as round table meetings, liaison functions, cross-membership and
     the management of common initiatives.

3.   Cooperation initiated by a Signatory is open to other Signatories if
     they wish to participate and if they actively contribute to the purpose
     of the initiative. Such an initiative can be anything from a round table
     meeting to a common project or a permanent activity. For efficiency
     reasons, the initiator will seek the best match between participants,
     purpose and resources. Participants may include persons, organizations,
     and associations other than the Signatories.

4.   The value of the contributions from the Signatories results from the
     active participation of their members.

5.   Cooperation organized by Signatories will be supportive of the European
     Community policy of open systems and international standards.

6.   All chapters (from the first to the fifth) of this MoU document form an
     integral part of this signed MoU and are equally valid in defining MoU
     goals and procedures. In cases of differences between the original and
     translated versions of this MoU document, the English-language original
     version is the official one.

ARTICLE III - ORGANIZING COOPERATION

1.   A Signatory wishing to take an initiative involving other Signatories
     will invite them, on the MoU website, by giving timely notice, to a
     series of round table meetings.

2.   The Signatory that has taken the initiative to call a round table
     meeting organizes and chairs the meeting and is responsible for
     preparing the agenda and minutes of the meeting, unless otherwise agreed.

3.   If the conclusions of a series of round table meetings require further
     action from the participants, they may decide a common action and will
     in such case define their respective roles and contributions in a
     separate memorandum of understanding. Such a memorandum of understanding
     may provide for a different and appropriate permanent structure for
     cooperation for that particular subject.

4.   A Signatory may take part in a round table meeting as either a
     participant or an observer. It will inform the other participants before
     the meeting starts whether it is taking part as an observer or as a
     participant. A participant is entitled to take a position on any common
     positions adopted, including the conclusions of the meeting. An observer
     does not participate in the decision making in the meeting(s).

5.   If several Signatories decide to launch the same or similar
     initiative(s), they will use their best efforts to examine together
     whether it would not be more useful to combine such initiatives. If so,
     they will use their best efforts to make the necessary arrangements for
     the management of such meetings, including agreement on who shall chair
     the meetings.

6.   The Signatory that has taken the initiative shall inform all other
     Signatories of their initiative on the MoU website, including subject,
     objective, participants and calendar of planned meetings.

ARTICLE IV - INFORMATION

1.   The Signatories will seek to obtain regular updated information from
     policy makers in the field of learning technologies.

2.   When the Signatories consider it necessary in pursuing the goals of the
     MoU, they will allow for linking from the MoU website or send regular
     updates to other Signatories on the following information:

     i.     The constitution, objectives, composition, members (numbers,
            profiles, etc.), contact persons and geographical coverage of the Signatory.

     ii.  Main field of activities and the services rendered to members.

     iii. Published declaration in issues of interest to other Signatories.

     iv.  Plans for cooperation with other Signatories.

3.   The Signatories with a relevant network of members will select and
     transmit all relevant information they receive from other Signatories to
     their members.

ARTICLE V - INPUT IN POLICY MAKING

1.   In order to ensure appropriate input for international education and
     training policy, the Signatories will welcome representatives of all
     countries to meetings to discuss important changes in education and
     training policy relevant to learning technologies.

2.   A Signatory will make its best efforts to reach a common position with
     other Signatories having similar interests before submitting
     contributions to policy makers through the Chief of the European
     Regional Group of the Global University System. The MoU Steering
     Committee or an MoU Special Interest Group can invite national
     representatives to meet with them before they prepare such contributions.

3.   When submitting contributions to policy makers through the Chief of the
     European Regional Group of the Global University System, on matters
     concerning learning technologies policy, the Signatories will provide
     evidence of the size and profile of their consultation base. The MoU
     Steering Committee can coordinate such contributions to the policy makers.

ARTICLE VI - FUNDING FOR COMMON ACTIONS

1.   The Signatories will, where appropriate, prepare proposals for common actions which:

     i.     Result in a valuable and tangible contribution to the MoU objectives.
     ii.  Will involve their members in the work accomplished.
     iii. Will exploit fully the cooperation with other Signatories, if
          necessary with the coordinating help of consultants or experts.

2.   The Signatories will explore ways to achieve appropriate funding.

ARTICLE VII - CONCLUDING PROVISIONS

1.   This MoU remains open for signature for any organization or company
     wishing to follow the guidelines laid down herein.

2.   A Signatory may at any time withdraw from the MoU. To do so, the
     Signatory will have to submit its resignation in writing to the MoU Secretariat.

share its aims and objectives and are willing to contribute to the work.

The MoU Signatories and promoters will seek to attract more end-users and
their representative organizations, multimedia service providers, educational
publishers, sectorial trade associations, large and small software houses,
suppliers of information and communication technologies, telecommunications
operators and other infrastructure providers, as well as education and
training institutions and public authorities to assure the best success of this initiative.

This MoU is signed for an initial period ending 31 December, 2002 (tentative)
following which time its terms and objectives will be reviewed by all Signatories.

The signatories are to follow the steps below.

1.   The MoU should be signed by an authorized representative empowered to
     sign such documents and morally bind the signatory organization.

2.   This signature must be carried out on the signature page provided - or an exact replica.

3.   The information on the signature page must be complete to become a
     Signatory. In particular, to exercise electronic voting rights the
      e-mail address must be stated, which the Signatory authorizes to be used
     on its behalf for voting. This authorized e-mail address, and other
     contact information of MoU participants of the Signatory, is given on
     the MoU registration form, supplied with this May 2000 MoU document.

4.   The signature page and the registration form should be returned to:

PROPOSING SPECIAL INTEREST GROUPS

The Signatories have the right to propose Special Interest Groups and to
nominate person(s) from their organization to participate. Proposals for
Special Interest Groups and for nominations should be submitted either by fax
(see number above) or to the initial MoU coordinator: (TBA) by e-mail. The MoU
registration form can be used also for submitting Special Interest Group (SIG) proposals.

LAUNCH CONFERENCE

The Signatories of the Memorandum of Understanding will be invited to attend a
launch conference in March 2001 in Sheffield, England (tentative). This event
will take place jointly with the FLISH conference on learning technologies.
